Welcome to Martial Arts Ads AI ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Martial Arts Ads AI platform, website located at martialartsads.ai and app.martialartsads.ai (collectively, the "Service"), and any related services provided by the Company.
By creating an account, accessing, or using the Service, you ("User," "you," or "your") agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Description of Service
Martial Arts Ads AI is an artificial intelligence-powered advertising management platform designed for martial arts businesses. The Service connects to your Meta (Facebook/Instagram) advertising account(s) via authorized OAuth integration and uses autonomous AI agents to create, manage, optimize, and report on advertising campaigns on your behalf.
The Service includes, but is not limited to:
- AI-driven campaign creation, management, and optimization
- AI-generated ad creatives (images and copy)
- Automated budget allocation and adjustment within user-defined limits
- Performance analytics and reporting
- Lead generation form creation and management
- Ongoing strategic recommendations via conversational AI interface
2. Definitions
2.1 Account
"Account" means a single Meta advertising account connected to the Service. Each Account corresponds to one Meta Ad Account ID and requires its own subscription.
2.2 Subscription Term
"Subscription Term" (or "Term") means the billing period of your subscription plan — one (1) month, three (3) months, or twelve (12) months — beginning on your subscription start date and on each renewal date thereafter.
3. Account Eligibility and Registration
To use the Service, you must:
- Be at least 18 years of age
- Have the legal authority to bind the business entity you represent
- Own or have authorized administrative access to the Meta advertising account(s) you connect
- Provide accurate, current, and complete registration information
- Maintain the security of your account credentials
You are solely responsible for all activity under your account. You must notify us immediately at support@martialartsads.ai if you suspect unauthorized access.
4. Meta Account Authorization
By connecting your Meta advertising account(s) to the Service, you authorize the Company to:
- Access, read, and analyze your ad account data, campaigns, ad sets, ads, and performance metrics
- Create, modify, pause, resume, and manage campaigns, ad sets, and ads on your behalf
- Allocate and adjust budgets within the limits you configure
- Create and manage lead generation forms associated with your Facebook Page(s)
- Upload creative assets (images and ad copy) to your ad account
You may revoke this authorization at any time by disconnecting your Meta account from the Service or by removing the application's permissions directly through Meta's settings. Revoking authorization will immediately stop the Service from managing your account but will not retroactively undo actions already taken.
5. AI-Powered Autonomous Management
You acknowledge and agree that the Service employs autonomous artificial intelligence agents that make decisions and take actions on your advertising account(s) without requiring your prior approval for each individual action. These actions include but are not limited to:
- Creating and launching new ad campaigns
- Adjusting bids, budgets, targeting, and placements
- Pausing or reactivating campaigns based on performance
- Generating and deploying creative assets
- Reallocating budget between campaigns
While the Service includes safety constraints and budget limits to protect your account, you understand that AI-generated decisions may not always produce desired results. The Company does not guarantee any specific advertising outcomes, return on ad spend, lead volume, revenue, or business results.
Important notice regarding AI-generated outputs: The Service uses artificial intelligence to generate advertising content, strategic recommendations, analytics summaries, and other outputs. You acknowledge and agree that all AI-generated outputs — including but not limited to ad copy, images, campaign strategies, performance analyses, and conversational responses — may be inaccurate, incomplete, misleading, or not reflective of current conditions. Factual assertions contained in any AI-generated output should not be relied upon without independently verifying their accuracy. You are solely responsible for reviewing, evaluating, and approving all AI-generated outputs before acting on them or publishing them through your advertising accounts.
6. Pricing, Billing, and Automatic Renewal
6.1 Subscription Plans
The Service is offered as a flat-rate subscription, charged per Account. You select a billing term at sign-up — Monthly, Quarterly, or Annual. The full subscription fee for your chosen Term is charged to your payment method at the time you subscribe, at the price published on the Company's website at the time of purchase. There is no separate usage fee or percentage-of-ad-spend fee. Your advertising budget is paid by you directly to Meta and is not part of, or collected by, the Company as a subscription fee.
6.2 Automatic Renewal
Your subscription automatically renews. At the end of each Subscription Term, your subscription will automatically renew for a new Term of the same length, and your payment method on file will be automatically charged the then-current price for your plan, unless you cancel before the renewal date. A Monthly plan renews and is charged every month; a Quarterly plan renews and is charged every three (3) months; an Annual plan renews and is charged every twelve (12) months. By subscribing, you authorize the Company and its payment processor to charge your payment method automatically for each renewal Term until you cancel.
6.3 Renewal Reminders
For Quarterly and Annual plans, the Company will send a reminder email to the address on your account before each automatic renewal — approximately 30 days in advance for Annual plans and approximately 14 days in advance for Quarterly plans. You are responsible for keeping your account email address current so that you receive these notices. Full details of renewals, reminders, refunds, and cancellation are set out in our Renewal & Cancellation Policy, which is incorporated into these Terms by reference.
6.4 Money-Back Guarantee
We offer a 30-day money-back guarantee on the subscription fee for your initial Subscription Term. If you are not satisfied with the Service within the first 30 days of your initial subscription, you may request a full refund of that subscription fee by contacting support@martialartsads.ai. Renewal charges are not automatically refundable; because advance renewal reminders are sent and you may cancel before any renewal, fees for a renewal Term are generally non-refundable once the Term has begun. Advertising budget already delivered by Meta is never refundable, as those costs are incurred directly with Meta.
6.5 Payment Method
All payments are processed through Stripe, a third-party payment processor. By providing your payment information, you authorize us to charge the applicable fees to your payment method on the schedule described herein, including automatic renewal charges. You are responsible for keeping your payment information current.
6.6 Late Payment and Suspension
If payment fails, we will attempt to charge your payment method again. If payment is not received within 7 days of the due date, the Company reserves the right to suspend or terminate your access to the Service, including pausing all active campaigns managed by the Service.
6.7 Pricing Changes
The Company reserves the right to modify its pricing and fees at any time. If pricing changes affect your existing subscription, we will provide you with at least 30 days' prior written notice by email before the new pricing takes effect, and the new price will apply on your next renewal. Your continued use of the Service after the effective date of a pricing change constitutes your acceptance of the updated pricing. If you do not agree to the updated pricing, you may cancel your subscription before the new pricing takes effect.
6.8 Additional Accounts
Each subscription covers one Account (one Meta Ad Account ID). To connect and manage additional Meta ad accounts, each additional Account requires its own separate subscription at the applicable rate.
7. Cancellation and Termination
7.1 Cancellation by You
You may cancel your subscription at any time, with no cancellation fee, through your account settings, through the Stripe Billing Portal, or by contacting support@martialartsads.ai. To stop a renewal charge, you must cancel before your renewal date. Cancellation terms are also described in our Renewal & Cancellation Policy. Upon cancellation:
- Your access to the Service will continue until the end of the Subscription Term you have already paid for
- The AI agent will stop managing your campaigns at the end of that Term, and no further charges will be made
- As a courtesy, the Company will attempt to pause your active Meta campaigns when your subscription ends; you remain responsible for verifying in Meta Ads Manager that campaigns are paused and for any ad spend on your Meta account
- You may resume your subscription at any time before your access ends
7.2 Termination by Us
We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for any reason, including but not limited to:
- Violation of these Terms
- Non-payment of fees
- Violation of Meta's advertising policies through your account or content
- Fraudulent, abusive, or illegal activity
- Actions that compromise the security or integrity of the Service
8. Advertising Content and Compliance
8.1 Your Responsibilities
You are solely responsible for ensuring that the business information, offers, promotions, and any content you provide to the Service are truthful, accurate, and comply with all applicable laws, regulations, and Meta's advertising policies. This includes, but is not limited to, claims made about your business, pricing, guarantees, and services offered.
8.2 AI-Generated Content
The Service generates advertising creative content (images and copy) using artificial intelligence. While we strive to produce compliant and effective content, you acknowledge that:
- AI-generated content may contain errors, inaccuracies, or content that does not meet your brand standards
- AI-generated outputs may be false, incomplete, misleading, or not reflective of recent events or current conditions
- You are ultimately responsible for all advertising content published to your Meta account, including AI-generated content
- The Company is not liable for any consequences arising from AI-generated content, including Meta policy violations, ad rejections, or account restrictions imposed by Meta
8.3 Meta Policy Compliance
The Service is designed to operate within Meta's advertising policies. However, the Company does not guarantee that all actions taken by the AI agent will comply with Meta's policies at all times, as Meta's policies are subject to change without notice. If your ad account is restricted or disabled by Meta for any reason, the Company is not liable for any resulting losses or service interruptions, and no refund of fees will be issued for periods during which your Meta account was restricted.
8.4 Prohibited Uses
You may not use the Service to advertise:
- Any product, service, or content that is illegal in the applicable jurisdiction
- Content that is false, deceptive, or misleading
- Any content that violates Meta's advertising policies or community standards
- Adult content, weapons, tobacco, illicit drugs, or other restricted categories
9. Intellectual Property
9.1 Our Intellectual Property
The Service, including its software, AI models, algorithms, user interface, documentation, and all related intellectual property, is owned by the Company and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose during your active subscription.
9.2 Your Content
You retain ownership of all content and data you provide to the Service (business information, brand assets, etc.). You grant the Company a non-exclusive, worldwide, royalty-free license to use, reproduce, and process your content for the purpose of providing the Service to you and as otherwise permitted under these Terms, including but not limited to the marketing and publicity rights described in Section 9.4.
9.3 AI-Generated Creatives
Advertising creatives generated by the Service using your brand information are licensed to you for use in connection with your advertising. The Company retains the right to use anonymized, aggregated performance data to improve the Service.
9.4 Marketing and Publicity Rights
You grant the Company a non-exclusive, worldwide, royalty-free, perpetual license to use your business name, logo, publicly available advertising creatives produced through the Service, and general campaign performance metrics (such as lead volume improvements or cost-per-lead reductions) in the Company's marketing materials, case studies, testimonials, website, social media, and other promotional content. The Company may publicly identify you as a customer of the Service and reference your use of the Service in promotional contexts.
The Company will not disclose your specific advertising budgets, internal business financials, or confidential business information in marketing materials without your prior written consent. You may opt out of the marketing and publicity rights described in this Section 9.4 by providing written notice to support@martialartsads.ai. Upon receipt of such notice, the Company will cease new use of your materials in marketing within 30 days; however, previously published materials (including but not limited to case studies, testimonials, and website content) may remain in circulation and the Company shall have no obligation to recall or remove them.
10. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.
10.1 Third-Party AI Service Providers
The Service utilizes third-party artificial intelligence providers, including but not limited to Anthropic and Google, to power its AI capabilities. By using the Service, you acknowledge and agree that certain data you provide — including business information, brand assets, campaign data, and conversational inputs — may be transmitted to and processed by these third-party AI providers in order to deliver the Service. The Company selects AI providers that maintain commercially reasonable data handling practices, and your data is transmitted to these providers solely for the purpose of generating outputs and providing the Service. The Company does not authorize these third-party providers to use your data for training their AI models. However, the Company is not responsible for the data practices of third-party providers beyond what is within the Company's reasonable control, and you should review the terms and privacy policies of these providers if you have concerns about how your data may be processed.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING, THE COMPANY DOES NOT WARRANT THAT:
- THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE
- THE AI AGENT WILL PRODUCE ANY SPECIFIC ADVERTISING RESULTS, LEADS, CONVERSIONS, OR REVENUE
- AI-GENERATED OUTPUTS, INCLUDING ANALYTICS, RECOMMENDATIONS, AND STRATEGIC ADVICE, WILL BE ACCURATE, COMPLETE, OR CURRENT
- AD CREATIVES GENERATED BY THE SERVICE WILL BE APPROVED BY META OR COMPLY WITH ALL APPLICABLE POLICIES AT ALL TIMES
- THE SERVICE WILL BE COMPATIBLE WITH FUTURE CHANGES TO META'S API, POLICIES, OR PLATFORM
- ANY PARTICULAR RETURN ON AD SPEND, COST PER LEAD, OR BUSINESS OUTCOME WILL BE ACHIEVED
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- LOSS OF PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES
- LOSS OF DATA OR GOODWILL
- ADVERTISING SPEND THAT DID NOT PRODUCE DESIRED RESULTS
- META ACCOUNT RESTRICTIONS, SUSPENSIONS, OR BANS
- ACTIONS TAKEN BY THE AI AGENT ON YOUR ACCOUNT
- INTERRUPTION OF ADVERTISING CAMPAIGNS
- CHANGES TO META'S PLATFORM, POLICIES, OR API THAT AFFECT THE SERVICE
- INACCURACIES, ERRORS, OR OMISSIONS IN AI-GENERATED OUTPUTS, INCLUDING ANALYTICS, RECOMMENDATIONS, AND STRATEGIC ADVICE
THE COMPANY'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO THE COMPANY IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
13. Indemnification
You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Service
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Content, offers, or business information you provide that is false, misleading, or violates third-party rights
- Your Meta advertising account activity, including any claims by Meta or third parties arising from ads run through your account
- Your failure to maintain proper authorization for connected Meta accounts
- Your connection or management of additional Meta ad accounts without purchasing a separate subscription for each
14. Dispute Resolution
14.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
14.2 Informal Resolution
Before initiating formal dispute proceedings, you agree to contact us at support@martialartsads.ai and attempt to resolve the dispute informally. We will make good-faith efforts to resolve disputes within 30 days of receiving written notice.
14.3 Arbitration
If informal resolution fails, any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator. The decision of the arbitrator shall be final and binding, and judgment on the award may be entered in any court having jurisdiction. The arbitration shall be conducted in English.
14.4 Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration against the Company.
15. Modifications to Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription.
16. Miscellaneous
16.1 Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Company regarding the Service and supersede all prior agreements, representations, and understandings.
16.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
16.3 Waiver
The failure of the Company to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
16.4 Assignment
You may not assign or transfer these Terms or your rights under them without the Company's prior written consent. The Company may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
16.5 Force Majeure
The Company shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, strikes, government actions, changes to Meta's platform or policies, internet or infrastructure failures, or pandemics.
16.6 No Agency
The relationship between you and the Company is that of independent contractors. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between the parties.
